
CONSTITUTION
of the
Alfa Romeo
Owners Association
of
1. DEFINITIONS
1.1 ABBREVIATION
The Alfa Romeo
Owners Association of South Africa shall hereinafter be referred to as AROASA.
1.2 ALFA ROMEO
Alfa Romeo is
defined as the company representing the brand Alfa Romeo presently operating in
1.3 PARTICIPATING CLUBS
All Alfa Romeo
enthusiast clubs or associations residing within the borders of
1.4 EXECUTIVE COMMITTEE
The Executive
Committee of AROASA shall comprise of at least a chairman, secretary and a
treasurer. These three officers shall form the Exco and be responsible for the
daily running of AROASA
1.5 AROASA COMMITTEE
The AROASA Committee
shall comprise one representative from each participating club and/or the
chairman of each club.
2. OBJECTIVES AND PURPOSE
The objectives of
AROASA are:
2.1 To represent the interests of the
participating enthusiast clubs as a single voice to the public, government,
authorities and Alfa Romeo.
2.2 To act as a communication medium
between the different participating clubs or associations.
2.3 To act as a communication medium
between Alfa Romeo and the different participating clubs or associations.
2.4 To facilitate and promote any national
event concerning the participating clubs or associations.
3. MEMBERSHIP, ELIGIBILITY, RIGHTS AND
RESPONSIBILITIES
3.1 ELIGIBILITY
OF MEMBERS
Membership of AROASA exists only
in the form of participating clubs and/or associations. No individual
membership exists:
3.1.1 Constitution. Each participating club or association must have
proper constitution and that constitution must be available for inspection on
request.
3.1.2 Committee.
Each participating club or association
must have an elected committee whose details must be provided to AROASA
whenever they change.
3.1.3 Financial
control measures. Each
participating club or association must be in control of their respective
finances, and if called on by the Exco, be able to prove such control.
3.2 VOTING
RIGHTS
Only eligible member clubs or
associations, as defined above, shall be eligible to vote at AROASA Committee
meetings. Each eligible member club or association shall be entitled to only
one vote. The Exco members only have voting rights in the Exco meetings and not
in the AROASA Committee meetings unless they represent a participating club or
association or their vote is needed to break a deadlock as stipulated below
under section 4.3.
3.3 EXECUTIVE
COMMITTEE
The members of the Executive
Committee (Exco members) may be appointed at any meeting of the AROASA
Committee. Such Executive Committee Members may be appointed upon such terms,
conditions, rights and privileges for such term as the AROASA Committee may
deem fit and such terms, conditions, rights and privileges shall not exceed
those extended to other members. Such Exco members are not necessarily the
representatives of their respective clubs or associations.
4. MANAGEMENT AND POLICIES
4.1 MANAGEMENT
4.1.1 The management and control of AROASA shall
be vested in the Exco which can be elected or appointed at any meeting of the
AROASA Committee
4.1.2 The AROASA Committee may co-opt or
nominate any other temporary position or positions on the Exco as and when its
sees fit
4.2 SUB-COMMITTEES
The Exco and the AROASA Committee
shall have the power to appoint temporary or permanent sub-committees and may
delegate to such sub-committees such powers as it may deem necessary within the
scope of its own convenor whose duty it will be to convene meetings as and when
required and to submit a report to each Exco and/or AROASA committee. An Exco member
appointed or elected by the AROASA Committee shall be ex officio a member of
all sub-committees.
The Exco or AROASA Committee
shall have the power to appoint temporarily or permanently a person or persons
to represent AROASA at any meeting, social run, competition, affiliated
organisation and/or function to enable the AROASA to fulfil the objectives and
purposes AROASA.
4.3 CASTING VOTE
In the event of an equal number
of votes being cast for and against a motion in a AROASA Committee meeting, the
Exco members present but not representing a participating club or association,
may cast their votes in order of seniority (Chairman, Secretary, Treasurer,
others) until the deadlock is broken.
4.4 AROASA COMMITTEE
MEETING
4.4.1 An AROASA Committee Meeting shall be held at least once every two
years, notice of which will be sent to each participating club or association
at least twenty-one (21) days previous to the meeting. Notice of any business
or of any amendment to such business and nominations for Exco positions shall
be in the Secretary's hands at least 48 hours previous to the meeting.
4.4.2 75% of the participating clubs or
associations present at the AROASA Committee Meeting shall constitute a quorum
whereby the new Exco can be elected or appointed.
4.4.3 If less than the required quorum is
present at the AROASA Committee Meeting, the decisions taken must be ratified
with enough support from the absent participating clubs or associations as to
meet the quorum requirements in 4.4.1 above. Such ratification must be
completed within thirty days (30) of the meeting, failing which the decisions
taken are null and void.
4.4.4 Should the required quorum not be present
at the AROASA Committee Meeting or the ratification of the decisions taken not
be possible as outlined in 4.4.3 above, a further AROASA Committee Meeting
shall be called and the process repeated. At no time will the failure of this
process indicate the dissolving of AROASA unless the dissolving of AROASA is
the decision that cannot be ratified.
4.5 SPECIAL AROASA
COMMITTEE MEETING
The Secretary, upon receiving a
written requisition signed by at least fifty percent (50%) of the participating
clubs or associations or the majority of the Exco, shall convene a Special AROASA
Committee Meeting, not more than thirty (30) nor less than fourteen (14) days after receipt of the signed
requisition.
4.6 EXECUTIVE
COMMITTEE MEETINGS
The Exco
shall meet as often as is deemed necessary and fifty percent (50%) of the Exco members
shall form a quorum. Any representative of a participating club or association
may attend Exco Meetings and, upon invitation by the Chairman, take part in
discussions, but may not vote upon any matter.
4.7 BY-LAWS,
RULES AND REGULATION
The Exco or AROASA Committee may
draw up By-Laws, Competition Rules and/or Regulations as they find necessary,
provided however, such By-Laws, Competition Rules and Regulations are not in
conflict with the Rules and Regulations of the land or local authorities.
4.8 ALTERATIONS TO RULES
These rules shall not be amended,
rescinded or altered, except at the respective Exco or AROASA Committee Meeting
or Special AROASA Committee Meeting called for that purpose. Notice of such
proposed alteration shall be given to all participating clubs or associations
at least fourteen (14) days prior to the date of the meeting. The vote of
two-thirds of the participating clubs or associations present and entitled to
vote at such a meeting shall be necessary to amend or rescind the rules.
4.9 RULES BINDING ON PARTICIPATING
CLUBS OR ASSOCIATIONS
All participating clubs or
associations shall be bound by these Rules and Regulations, and the AROASA Committee's
decision in the case of dispute or interpretation of the Rules and Regulations
shall be final and binding on all participating clubs or associations.
4.10 MISCONDUCT
The AROASA Committee, upon receiving
notice that a participating club or association has infringed the Rules or has
committed an act detrimental to the interests of AROASA, shall call upon such participating
club or association to appear at the next AROASA Committee Meeting and give an
explanation of their action. Upon hearing the participating club or association's
explanation, the AROASA Committee may either exonerate, expel or suspend the participating
club or association after furnishing reasons for its decision. Should the participating
club or association fail to appear as requested, the AROASA Committee shall
have the right to expel or suspend the participating club or association at the
Meeting. An expelled participating club or association, however, shall not be
relieved of any debt by them to AROASA.
5. FINANCIAL AND ASSET CONTROL
5.1 FINANCIAL YEAR
The financial year of the AROASA
shall end at the last day of February every year.
5.2 BANK ACCOUNT
All monies of AROASA shall be
deposited to an account of a registered commercial bank decided upon by the AROASA
Committee. All requisitions must be signed by the Chairman or Secretary and the
Treasurer.
5.3 SUBSCRIPTIONS
5.3.1 Annual Subscriptions and/or Entrance Fees
shall be determined by the AROASA Committee. These fees shall include subs and
indemnity insurance due according to the arrangement in place at the time.
5.3.2 Participating clubs or associations who
have not paid their annual subscriptions by the end of April each year, will
forfeit their membership and benefits until such time as the account has been
settled in full The Exco or AROASA Committee may, at their discretion, waive
this clause in exceptional circumstances.
5.4 MEMBER CLUB OR
ASSOCIATIONS LIABILITY
The liability of member clubs or
associations is limited to the amounts of their unpaid subscriptions, if any,
and any grants issued to them and not accounted for in full and to the
satisfaction of the Exco.
5.5 AROASA ASSETS
For all intents and purposes the
Chairman, Secretary and/or Treasurer for the time being shall be deemed to be
the legal owners of all trophies, monies and other properties of AROASA, but
may only deal with such assets as directed by the Exco and/or the AROASA Committee.
No individual, shall participate in the distribution of AROASA assets; similarly
no participating club or association shall participate in the distribution of
AROASA assets, excepting as follows:
5.5.1 Should AROASA decide to wind up, all
member participating clubs or associations whose current annual subscriptions
have been fully paid up on the date of the meeting held to decide that AROASA shall
cease functioning, shall participate in the distribution of the assets
remaining after all liabilities have been settled. Any such distribution shall
be offset by any amount granted to participating clubs or associations not
fully accounted for to the satisfaction of the Exco at the time of the said
meeting.
5.5.2 Should an individual or participating club
or association incur expenses in performing some duty on behalf of AROASA, such
expenses may be reimbursed to the individual or participating club or
association at the discretion of the Exco.
